IMPORTANT NOTICE

These Terms and Conditions form a legally binding agreement between you and Burn Arena ("we", "us", "our"). Please read them carefully. By creating an account or using the Service, you confirm that you understand and agree to these Terms. If you do not agree, you must not use the Service.

These Terms may have changed since you last reviewed them. You are responsible for reviewing these Terms each time you use the Service.

The Service provides a voluntary social and behavioural experiment platform in which users may choose to spend money to obtain non-redeemable digital tokens and intentionally destroy (burn) them. No financial return, goods, or services are provided in exchange for burned tokens.

We reserve the right to suspend, terminate, or refuse access to any Account where you have (or we reasonably believe you have) provided false eligibility or location information.

4. Account Responsibility

You are responsible for maintaining login security on your Account. You must keep your login details confidential and you must not share these with anyone else. You must promptly report any unauthorized access of your Account to us.

We are not responsible for any losses resulting from compromised credentials, passwords or login details where you have not complied with the above Terms and/or you have not followed reasonable security practices.

5. Tokens and Account Balances

You acknowledge and agree that:

Tokens may be modified or discontinued at our discretion.

Due to technical failures, software bugs, database errors, fraud prevention actions, or security events, Token balances may be affected. We reserve the right to correct technical errors affecting Token balances.

6. Purchases, Refunds and Consumer Rights

When you purchase Tokens you are agreeing that:

Purchases of Tokens are processed by third-party payment processors. We are not responsible for their services, failures or delays.

By making a Purchase, you confirm that:

We will confirm the supply of a Token to you upon receipt of the purchase price in full.

We may reject orders for Tokens if you are located outside the UK or we reasonably believe that you have provided false account information.

When you purchase a Token, you have 14 days to change your mind but you lose this right if you choose to use your Token by initiating a Burn Action.

If you change your mind, contact our Customer Service Team at: support@burnarena.app. We will refund you as soon as possible and within 14 days of you telling us that you have changed your mind (provided you do not initiate a Burn Action in respect of the relevant Tokens). We will refund you by the method you used for payment.

You must tell us that you have changed your mind before the Service End Date as you lose your right to any refunds after the Service End Date.

If we are unable to collect any payment you owe us we will charge interest on the overdue amount at the rate of 2% a year above the Bank of England base rate from time to time. This interest accrues on a daily basis from the due date until the date of actual payment of the overdue amount, whether before or after judgment. You pay us the interest together with any overdue amount.

7. Service End Date and Forfeiture

The Service is a time-limited social experiment intended to operate only until 31 December 2026 at 11:59pm BST (Service End Date). This is not a guarantee that the Service will remain available until that date.

You acknowledge that any unburned Tokens and associated credit balances in your Account on the Service End Date will be permanently forfeited and are not recoverable or refundable.

8. Burn Actions

Burn Actions permanently delete Tokens. Before confirming a Burn Action, you will see the amount being destroyed.

If your Burn Action in relation to a Token is faulty, or there is a technical delivery failure in relation to your Token or a Burn Action, you are entitled to a repair or replacement. If the fault cannot be fixed, or if it has not been fixed within a reasonable time and without significant inconvenience, you can get some or all of your money back for that Token. Any refund decisions will be made reasonably and in good faith.

You may set a display name visible on leaderboards and in shared content. You are responsible for ensuring your display name is appropriate and does not violate our acceptable use terms.

The Service may offer sharing features allowing you to share burn activity, achievements, or profile information on third-party platforms. Shared content may be publicly accessible. You control what you choose to share.

12. Spending Limits and Safeguards

We may suspend or terminate your Account if you breach any of these Terms.

If we suspend or terminate your Account as a result of your breach of these Terms, you may forfeit any unused Tokens.

15. Intellectual Property

All intellectual property rights in the Service is owned by us and/or our licensors. Use of the Service does not grant you any rights to, under or in, any patents, copyright, database right, trade secrets, trade names, trade marks (whether registered or unregistered) or any other rights or licences in respect of the Service.

We do not guarantee uninterrupted availability to the Service. The Service may be modified or discontinued at any time.

We can suspend the supply of the Service (including the purchase of Tokens and the initiation of Burn Actions) from time to time in order to:

Except as provided in these Terms, if we stop providing the Service and you have purchased Tokens which you have not used (burned), we will refund any sums you have paid for the purchase of any Tokens which cannot be used.

To the fullest extent permitted by law, the Service is provided "as is" without warranties.

18. Limitation of Liability

We are not responsible for claims or losses which are:

Save in respect of any liability which cannot legally be limited, our total liability to you for all losses arising under or in connection with any contract between us, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the amount you paid for Tokens in the 30 day period preceding the date on which your claim arose and all claims for loss of profit or indirect or consequential loss are wholly excluded.

Nothing in these Terms shall limit our liability for fraud.

You agree to indemnify us for claims and liability arising (whether directly or indirectly) from your misuse or violation of these Terms or your failure to take reasonable actions to prevent or reduce your claim.

22. Changes to Terms

We may update these Terms at any time. You are responsible for reviewing these Terms each time you use the Service. If you do not agree to these Terms, you should not use the Service or purchase Tokens.

23. Other general terms

This contract is between you and us. Noone else can enforce it. You can only transfer your contract to someone else if we agree to this in writing. If a court or other authority invalidates any terms of this contract, or decides that any of these terms are unlawful, the rest of the Terms will continue to apply. Even if we delay in enforcing this contract, we can still enforce it later.

24. Entire Agreement

These Terms form the entire agreement between you and us in relation to their subject matter. You acknowledge that you do not rely on any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these Terms. You agree that you shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in these Terms.

25. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. You agree that the courts of England and Wales shall have exclusive jurisdiction, except where mandatory consumer protection laws in your jurisdiction provide otherwise.

26. Geographic Availability

The Service is intended for users located in the United Kingdom and the United States only. We may restrict or block access to the Service from other jurisdictions at our discretion. We make no representation that the Service is appropriate, lawful, or available for use in other locations. Users who access the Service from outside the United Kingdom or the United States do so without our authorisation and at their own risk.

27. Sanctions and Export Compliance

You must not use the Service if you are located in, or a resident of, any country subject to UK, US, or international sanctions. You represent and warrant that you are not subject to any sanctions or restrictions that would prohibit your use of the Service.
